U.S. $4,733,645.43 Execution Date:
May 10, 2001 Las Vegas, NV
FOR VALUE RECEIVED, the undersigned, NATIONAL AIRLINES, INC., a Delaware corporation (the "Maker") promises to pay to the order of B.F. GOODRICH AEROSPACE MRO GROUP, NC., a Washington corporation (the "Payee"), at its offices located at 11323 30th Avenue West, Payne Field, Everett, Washington 98204, or at such other address as the Payee may from time to time designate, the principal sum of U.S. $4,733,648.43, together with interest from the date of this Note on the unpaid principal balance, upon the terms and conditions specified below.
WHEREAS, the Maker is a debtor in possession in a case entitled "In Re: National Airlines, Inc." pending before the United States Bankruptcy Court for the District of Nevada (the "Court"), as Case No. 00-19258-LBR (the "Case"); and
WHEREAS, the Maker and the Payee have entered into an Assumption of Executory Contracts Agreement, dated as of February 28, 2001 (the "Assumption Agreement"), under which the Maker, pursuant to its powers under Section 365 of Title 11 of the United States Code (the "Bankruptcy Code"), has agreed to assume certain executory contracts between the Payee and the Maker (the "Assumed Agreements") for materials and services provided by the Payee to the Maker and to cure certain defaults; and
WHEREAS, the Payee has asserted chattel liens (the "Chattel Liens") arising under the laws of the State of Washington upon those aircraft identified in Paragraph 3.1.2 of the Assumption Agreement and in the Maker's interest in such aircraft; and
WHEREAS, the Maker has executed this Note to cure defaults under the Assumed Agreements; and
WHEREAS, the Maker has also executed simultaneously with this Note a second promissory note with respect to its cure obligations to the Payee under certain of the Assumed Agreements in the amount of $3,899,238.92 (the "10% Deferred Note B").
NOW, THEREFORE, in consideration of the foregoing, the parties hereto agree as follows:
1. TERM. The principal amount hereof shall be repaid in twenty-four (24) equal and consecutive installments of $197,235.35, each of which shall be due and payable on the first day of each month, commencing on the earlier of August 1, 2001, or entry of an order of the Court (i) approving debtor-in-possession financing, (ii) confirming of a plan of reorganization, or (iii) authorizing a sale or assignment of all or substantially all of National's assets.
2. RATE OF INTEREST. Interest shall accrue under this Note on any unpaid principal balance at the rate of TEN percent (10%) per annum commencing on the date of entry of an order approving the Assumption Agreement. Interest hereunder shall be computed on the basis of a 360-day year consisting of twelve 30-day months. All accrued and unpaid interest on the Note shall be paid arrears on the first day of each month, commencing on the earlier of August 1, 2001, or entry of an order of the Court (i) approving debtor-in-possession financing, (ii) confirming of a plan of reorganization, or (iii) authorizing a sale or assignment of all or substantially all of National's assets.
Should interest not be paid when due, such interest shall thereafter bear like interest as the unpaid principal balance, but such unpaid interest, compounded annually, shall in no event exceed an amount equal to simple interest on the unpaid principal at the maximum rate permitted bylaw.
3. PAYMENTS. Prepayment of principal and interest (accrued through the date of prepayment) may be made at any time without penalty. All payments made hereunder shall be applied first to all costs and expenses incurred by the Payee in the collection of this Note, as set forth below, then to accrued but unpaid interest hereunder and then to the principal balance hereof
Principal and interest evidenced hereby are payable only in lawful money of the United States. The receipt of a check by the Payee does not, in and of itself, constitute payment hereunder unless and until such check is paid in good funds.
4. DEFAULT INTEREST.
(a) The Maker agrees that time is of the essence in respect of payment of the principal balance hereunder and that in the event payment of principal due under this Note is not made when due or when any Event of Default has occurred and is continuing, in addition to any other remedies available to the Payee, the outstanding principal balance hereof shall bear interest at the rate of TWELVE percent (12%) per annum, for so long and until such overdue payment is made in full.
(b) The Maker agrees that time is of the essence in respect of payment of interest hereunder and that in the event payment of interest due under this Note is not made when due (including any applicable grace period), in addition to any other remedies available to the holder, the overdue interest payment shall immediately bear interest at the rate of TWELVE percent (12%) per annum, for so long and until such overdue payment is made in full.
5. SECURITY. Subject to Section 5.2 of the Assumption Agreement, these obligations of the Maker under this Note which are the subject of the Chattel Liens are and remain secured by the Chattel Liens.
6. COMPLIANCE WITH USURY LAW. All agreements between the Maker and the Payee of this Note are expressly limited so that in no contingency or event whatsoever, whether by reason of advancement of the proceeds hereof, acceleration of maturity of the unpaid principal balance, or otherwise, shall the amount paid or agreed to be paid to the Payee for the use, forbearance or detention of money advanced hereunder exceed the highest lawful rate permissible under any law which a court of competent jurisdiction may deem applicable hereto. If, from any circumstances whatsoever, fulfillment of any provision hereof or any instrument securing this Note or any other agreement referred to herein, at the time performance of such provision shall be due, shall involve transcending the limit of validity prescribed by law which a court of competent jurisdiction may deem applicable hereto, then, ipso facto, the obligation to be fulfilled shall be reduced to the limit of such validity, and if from any circumstances the holder hereof shall ever receive as interest an amount which would exceed the higher lawful rate, such amount which would be excessive interest shall be applied to the reduction of the unpaid principal balance due hereunder and not to the payment of interest. This provision shall control every other provision of all agreements between the Maker and the Payee.
7. REPRESENTATIONS AND WARRANTIES.

(b) The Maker agrees that time is of the essence in respect of payment of interest hereunder and that in the event payment of interest due under this Note is not made when due, in addition to any other remedies available to the holder, the overdue interest payment shall immediately bear interest at the rate of TWELVE percent (12%) per annum, for so long and until such overdue payment is made in full.

Attorneys for Creditors The B.F. Goodrich Company and affiliates
UNITED STATES BANKRUPTCY COURT DISTRICT OF NEVADA
In re: : BK-S-00-19258 (LBR) Chapter 11 NATIONAL AIRLINES, INC., a Delaware : corporation, Honorable Linda B. Riegle : Debtor. Date of Hearing: May 9, 2001 : Time of Hearing: 3:30 p.m. :
JOINT MOTION OF THE B.F. GOODRICH COMPANY AND CERTAIN AFFILIATES AND NATIONAL AIRLINES FOR AN ORDER APPROVING ASSUMPTION OF EXECUTORY CONTRACTS
The debtor National Airlines, Inc. ("National") and The B.F. Goodrich Company, BF Goodrich Aerospace MRO Group, Inc., BF Goodrich Aerospace Component Overhaul Repair, Inc. and certain of their business units (collectively "BFGoodrich") move that the court enter an order approving the assumption by National of its executory contracts with BFGoodrich.
In support of this motion National and BFGoodrich say as follows:
1. BFGoodrich provides Airframe Services to National under the terms of a certain Services Ordering Agreement dated 21 June 2000 which is attached to a motion previously filed with the court entitled: the Motion of BFGoodrich Aerospace MRO Group Inc., to Require Debtor to Assume or Reject Executory Contract and Provide Adequate Protection.
2. BFGoodrich also provides goods and services to National under the terms of a Component Services Agreement dated June 11, 1999 as amended and pursuant to a series of agreements entered into between National and various affiliates and business units of BFGoodrich.
3. The Airframe Services Agreement, Component Services Agreement and other agreements between National and BFGoodrich (the "BFGoodrich Contracts") are executory contracts under which BFGoodrich has continued to provide goods and services to National since the commencement of this bankruptcy case on December 6, 2000.
4. The BFGoodrich Contracts provide unique and essential goods and services to National at competitive prices which National would have great difficulty replacing or duplicating.
5. After reviewing the BFGoodrich Contracts and conferring with BFGoodrich and evaluating the benefit of the BFGoodrich Contracts to National, National has concluded in the excercise of its business judgment that it is in the best interest of the estate, creditors and National for the BFGoodrich Contracts to be assumed by National pursuant to 11 U.S.C. § 365. BF Goodrich and National have memorialized the terms under which the BF Goodrich Contracts are assumed in an Assumption Agreement effective as of February 28, 2001, a copy of which is attached hereto, incorporated herein and made a part hereof.
6. BFGoodrich and National have negotiated reasonable terms to cure the defaults by National under the BFGoodrich Contracts (the "Cure Provisions") in a manner consistent with the provisions of 11 U.S.C. § 365.
7. The Cure Provisions represent material concessions and modifications in the contractual rights of BFGoodrich which enable National to continue to operate its business and utilize the goods and services provided by BFGoodrich. BFGoodrich has agreed to modifications to certain payment terms under the BFGoodrich Contracts to enable National to continue to conduct its business operations while it seeks to reorganize.
8. BFGoodrich has preserved under 11 U.S.C. § 546 (b) and asserted by appropriate filings certain lien rights in the following aircraft which were the subject of Airframe Services from September 2000 to the present date. Aircraft Departure Date Amount N757NA 11/15/2000 1,100,988.45 N547NA 01/23/2001 249,646.56 N521NA 10/16/2000 1,044,593.68 N517NA 12/31/2000 942,501.73 N544NA 09/15/2000 269,254.01 N505NA 02/11/2000 407,741.28 N513NA 03/08/2000 718,922.72 BFGoodrich holds chattel liens in nearly half of the aircraft in the National Airlines fleet. Each of those aircraft is owned by a non-debtor third party and leased to National. All of National's lessors have acquiesced in National's continued operation and possession of their aircraft which includes delivery of the aircraft from time to time to BFGoodrich for maintenance.
9. The BFGoodrich Contracts are essential to the continued operation of National. Rejection of the BFGoodrich Contracts would deprive National of access to Wheel and Brake, Component Repair and Overhaul, and Heavy Maintenance goods and services that it could not economically replace.
10. On February 28, 2001, National announced to the court that it would assume the Services Ordering Agreement which was the subject of a pending motion to compel assumption or rejection. At the time of that bearing, BFGoodrich was providing heavy maintenance to aircraft N513NA for which maintenance, goods and services National was unable to pay under the agreed terms. in addition, National had failed to pay BFGoodrich the amount due for its work on Aircraft N517NA. BFGoodrich was free to seek to enforce its Stipulation with National by order to show cause on one day notice and request delivery of Aircraft N517NA to Everett, Washington as provided in the Stipulation. National continues default of its performance due under the Stipulation. BFGoodrich and National shall modify the Notice of Stipulation and Order of Forbearance by BFGoodrich entered on February 2, 2001 to provide (or continuing forbearance so long as National is not in default under the Assumption Agreement and Notes.
11. The charges for the goods and services provided by BFGoodrich in connection with the heavy maintenance to Aircraft N513NA were set forth in the initial invoice submitted by BFGoodrich in the amount of $808,010.14 a portion of which has been paid leaving a balance due of $718,922.72. Based in part upon National's representation that it would assume the BFGoodrich Contracts, BFGoodrich allowed National to take possession of Aircraft N513NA despite National's acknowledgment that it could not pay the amount due within thirty days.
12. Subsequent to receiving the advice of National on February 28, 2001 that is would assume the BFGoodrich Contracts and negotiate cure and adequate assurance of future performance terms, BFGoodrich has provided goods and services to National including Airframe Services to Aircraft N522NA and N546NA under a "nose to tail" procedure. pursuant to which National has delivered its aircraft in need of heavy maintenance immediately following the conclusion of the work by BFGoodrich and the certification that the preceding aircraft was airworthy and could be returned to service.
13. During the period from the commencement of this case and continuing to the present date, National has been unable to pay for the goods and services provided by BFGoodrich in the manner required by the BFGoodrich Contracts. BFGoodrich maintains that it is not obligated to provide goods and services to National unless and until its contracts are assumed.
14. BFGoodrich has provided goods and services subsequent to the commencement of this case for which it has charged National approximately $3 Million and for which it has received less than $1 Million in payments. Future services requested by National from BFGoodrich subsequent to February 28 will create additional liabilities for essential goods and services.
15. The Assumption Agreement between BFGoodrich and National to provide for the assumption of the BFGoodrich Contracts ensures that National will continue to receive essential goods and services and cure its postpetition defaults in payment for the goods and services provided by BFGoodrich.
WHEREFORE, National and BFGoodrich Pray that the court approve the assumption of the BFGoodrich Contracts by National under the terms of the Assumption Agreement.
