CITY AND COUNTY OF SAN FRANCISCO, Plaintiff, v. ATLANTIC RICHFIELD COMPANY, et al., Defendants.

STIPULATION TO DISMISS CLAIMS WITHOUT PREJUDICE, TOLLING AGREEMENT, AND DISMISSAL WITHOUT PREJUDICE AND RELATED COUNTERCLAIMS, CROSSCLAIMS, AND THIRD PARTY COMPLAINTS

MAXINE M. CHESNEY, United States District Judge.

Atlantic Richfield Company ("ARCO"), and PS Trading, Inc. ("PST") and PS Group, Inc. ("PSG"), by and through their counsel of record, hereby stipulate as follows:

ARCO has filed various complaints, including a Third Party Complaint and Counterclaim, against PSG. All such claims that ARCO has filed against PST and/or PSG in this case are referred to herein as the "ARCO COMPLAINTS". PST has filed a Cross-claim against ARCO. All such claims that PST and/or PSG has filed against ARCO in this case are referred to herein as the "PST/PSG COMPLAINTS". ARCO and PST/PSG have determined that it is in their best interests to dismiss any and all of the ARCO COMPLAINTS and the PST/PSG COMPLAINTS without prejudice, as follows:

1. ARCO hereby stipulates to dismiss the ARCO COMPLAINTS without prejudice.
2. PST and PSG hereby stipulate to dismiss the PST/PSG COMPLAINTS without prejudice.
3. PST/PSG and ARCO further stipulate that any claims for breach of contract and/or

contractual indemnity alleged in the ARCO COMPLAINTS and any claims for breach of contract and/or contractual indemnity alleged in the PST/PSG COMPLAINTS are tolled, such that any common law or statutory statute of limitations or time-based defense is tolled, meaning that any such claims can and may be filed in this or another court of competent jurisdiction on or before September 1, 2003. Nothing in this stipulation constitutes an agreement by PST/PSG or ARCO that the any such claims for breach of contract and/or contractual indemnity have merit or are not barred by the "good faith" determinations previously made by this court, rather such stipulation only tolls time-based defenses as to such claims to the extent, if any, that such claims can be proven in the future.
