In re: Phenix Biocomposites, LLC, Debtor.

ORDER AUTHORIZING RETENTION OF SELLING AGENT AND THE FILING OF CONFIDENTIAL INFORMATION UNDER SEAL

NANCY C. DREHER, Bankruptcy Judge

This matter came on before the undersigned on January 9, 2002 on Debtor's Motion to Engage Selling Agent and to File Confidential Material under Seal. Michael L. Meyer appeared on behalf of the Debtor and other appearances were as noted in the record. The Court having found that Insolvency Strategies, Inc. is disinterested as required by Section 327 of the Bankruptcy Code, that ISI does not hold or represent an interest adverse to the Debtor's estate concerning the matters upon which ISI is to be engaged and that engagement is necessary and is in the best interests of the estate, it is ORDERED:

1. Debtor is authorized to retain Insolvency Strategies, Inc., 3 Isleworth Drive, Henderson, NV 89052, as its selling agent under the terms of the modified Engagement Agreement between the Debtor and ISI filed with the Court today (the "ISI Engagement Agreement"), and perform its obligations under the ISI Engagement Agreement including the payment of fee and expense retainers and monthly invoices for services; and

2. Attachment A to the ISI Engagement Agreement maybe filed under seal to maintain the confidentiality of that document until the sale of Debtor's assets has been consummated.
