Factual and Procedural Background

The National Company Law Tribunal, Chandigarh Bench, considered a joint First Motion Application under Sections 230 and 232 of the Companies Act, 2013, concerning the proposed amalgamation of Thegot Hospitality Private Limited as the Transferor Company with Muhavra Enterprises Private Limited as the Transferee Company. [1][2][3][4][5][6][7]

Both companies had their registered offices in Haryana and therefore fell within the jurisdiction of the Bench. Their respective Boards had approved the Scheme of Amalgamation. [8][9][10]

The application sought dispensation of specified meetings for Applicant Company No. 1 and the Secured Creditors of Applicant Company No. 2, while requesting directions to convene meetings of the Equity Shareholders, Preference Shareholders, and Unsecured Creditors of Applicant Company No. 2. [5][11][12]

The order was delivered on 7 November 2025 after the Tribunal heard counsel for the Applicant Companies and examined the material on record. [13][14][15]

Legal Issues Presented

  1. Whether the meetings of the relevant shareholders and creditors of Applicant Company No. 1 could be dispensed with. [11][16]
  2. Whether the meetings of the Equity Shareholders, Preference Shareholders, and Unsecured Creditors of Applicant Company No. 2 were required to be convened, and whether the meeting of its Secured Creditor could be dispensed with. [12][17][16]
  3. What procedural directions should govern the convening, advertisement, notice, conduct, and reporting of the meetings concerning the Scheme. [18][19][20][21]

Arguments of the Parties

Applicant Companies' Submissions

  • The Scheme was intended to achieve cost savings, business synergies, rationalisation of operations, better management, and more efficient use of resources. [22][23][24][25][26]
  • The Scheme did not provide for any reduction of share capital and was not a corporate debt restructuring scheme. [27][28]
  • No investigation or other legal proceedings having a material bearing on sanction of the Scheme were pending against either company. [29]
  • Notification to the Competition Commission of India was stated to be unnecessary because the applicable asset, turnover, and deal-value thresholds were not exceeded. [30][31]
  • The Scheme addressed the interests of the staff, workers, and employees through Clause 8 of Part B. [32]
  • Consent affidavits had been obtained from all Equity Shareholders of Applicant Company No. 1 and from the Secured Creditor of Applicant Company No. 2, supporting dispensation of those meetings. [33][34][16]

Table of Precedents Cited

No precedents were cited in the provided opinion.

Court's Reasoning and Analysis

The Tribunal examined the consent affidavits and the stated composition of the shareholder and creditor classes. It found that all Equity Shareholders of Applicant Company No. 1 had provided consent, while that company had no Preference Shareholders, Secured Creditors, or Unsecured Creditors. Consequently, the relevant meetings were dispensed with or treated as unnecessary. [35][33][16]

For Applicant Company No. 2, no consent affidavits had been filed from its Equity Shareholders, Preference Shareholders, or Unsecured Creditors. Their meetings were therefore required to be convened. By contrast, the consent affidavit of its sole Secured Creditor justified dispensing with that meeting. [34][17][16]

The Tribunal directed that the required meetings be held through video conferencing or other audio-visual means within 45 days of publication of the newspaper advertisement. The meetings were to consider approval of the Scheme, with or without modifications. [18]

It further prescribed publication of advertisements, service of notices in Form CAA 2, circulation of the Scheme and statutory statements, compliance with quorum requirements, and exclusion of voting through proxy. [19][20][36][37][38]

The Tribunal appointed a Chairperson and a Scrutinizer, fixed their remuneration, required the Applicant Companies to report compliance before the meetings, and directed submission of the meeting results in Form CAA-4. [39][40][41][42][21]

Holding and Implications

ALLOWED AND DISPOSED OF. The First Motion Application was allowed and disposed of. The meetings of the Equity Shareholders of Applicant Company No. 1, and its Preference Shareholders, Secured Creditors, and Unsecured Creditors, were dispensed with or held unnecessary. The meetings of the Equity Shareholders, Preference Shareholders, and Unsecured Creditors of Applicant Company No. 2 were ordered to be convened, while the meeting of its Secured Creditor was dispensed with. [43][44][45][46][47][48]

The Applicant Company was granted liberty to file a Second Motion Petition. The order directly required compliance with the prescribed meeting, notice, advertisement, reporting, and procedural directions. [48][42][21]

The opinion does not state any broader implication or establish a new precedent.
