Smart Summary

Factual and Procedural Background

The opinion concerns a miscellaneous application filed by the Interim Resolution Professional (IRP) seeking an extension of time due to “unavoidable circumstances” that delayed the culmination of a proposal for approval of a resolution plan, though it was submitted within the time-frame prescribed by the Court. The requested extension relates to enabling the National Company Law Tribunal (NCLT), Principal Bench, to pass orders in Company Application No. 5 of 2020 for approval of the resolution plan under Section 30(6) read with Section 31 of the Insolvency and Bankruptcy Code, 2016, and to consider other relevant applications.

Separately, the Court was informed of a Public Interest Litigation (PIL) filed questioning the transfer of proceedings from the NCLT, Allahabad Bench to the NCLT, Principal Bench, New Delhi, in matters pertaining to Jaypee Infratech Limited.

Legal Issues Presented

  1. Whether time should be extended (by four weeks from 03.02.2020) for the NCLT, Principal Bench, to pass orders in Company Application No. 5 of 2020 seeking approval of the resolution plan under Section 30(6) read with Section 31 of the Insolvency and Bankruptcy Code, 2016.
  2. Whether the Court should suo motu withdraw to itself PIL No. 97 of 2020 challenging the transfer of proceedings between NCLT benches, to avoid conflicting directions and to ensure compliance with the Court-specified resolution timeline.

Arguments of the Parties

Court's Reasoning and Analysis

The Court accepted the IRP’s explanation that unavoidable circumstances delayed the culmination of the proposal for approval of the resolution plan and therefore acceded to the request for extension. The extension was granted “for the time being” in terms of the prayer clause seeking four weeks from 03.02.2020 for the NCLT, Principal Bench, to pass orders and consider related applications.

On being informed that a PIL had been filed to question the transfer of proceedings from NCLT Allahabad to the NCLT Principal Bench, the Court noted that it had specified a timeline for the conclusion of the resolution process and that the entire issue concerning the process for Jaypee Infratech Limited was before it. To protect the interests of all concerned, avoid the risk of conflicting directions by a High Court, and ensure compliance with the Court’s time-frame, the Court deemed it appropriate to withdraw the PIL to itself suo motu and directed the Registry to take steps to call for the transferred proceedings and register them as a transferred case for listing before the appropriate bench.

Holding and Implications

ALLOWED / TIME EXTENDED: The Court allowed the miscellaneous application and extended the time as prayed in prayer clause (a), i.e., four weeks from 03.02.2020 for the NCLT, Principal Bench, to pass orders in Company Application No. 5 of 2020 and consider other relevant applications.

PIL WITHDRAWN SUO MOTU: The Court ordered that PIL No. 97 of 2020 (Company Law Tribunal Bar Assn. (CLTBA), Allahabad Bench v. Union of India) be withdrawn to the Court, and directed the Registry to call for and register the transferred proceedings as a transferred case for placement before the appropriate bench.

The direct effect is to (i) provide additional time for adjudication at the NCLT Principal Bench regarding approval of the resolution plan, and (ii) centralize adjudication of the transfer-related PIL before the Court to prevent conflicting judicial directions and facilitate compliance with the Court-prescribed timeline. The opinion does not indicate that any new precedent was set.

    1. This application is filed by the Interim Resolution Professional pointing out the unavoidable circumstances which have delayed the culmination of the proposal for approval of resolution plan though submitted within the time-frame prescribed by this Court. For reasons stated in the application, we accede to the request of the Interim Resolution Professional and allow this miscellaneous application in terms of prayer clause (a) which reads thus:

“a. Pass an appropriate direction for extension of time of four-weeks from 03.02.2020 to the Principal Bench, National Company Law Tribunal to pass orders in Company Application No. 5 of 2020 filed by the IRP for approval of resolution plan under Section 30(6) read with Section 31 of Insolvency and Bankruptcy Code, 2016 and to consider other relevant applications.”

    2. The time, as prayed, is extended for the time being in terms of prayer clause (a).

    3. We need to record the fact brought to our notice that some Public Interest Litigation has been filed to question the transfer of proceedings from National Company Law Tribunal, Allahabad Bench, Allahabad to National Company Law Tribunal, Principal Bench, New Delhi. Considering the fact that timeline for conclusion of resolution process has been specified by this Court and the entire issue regarding the said process pertaining to Jaypee Infratech Limited is brought before this Court, in the interests of all concerned, we deem it appropriate to suo motu withdraw the stated Public Interest Litigation (PIL) No. 97 of 2020 titled as Company Law Tribunal Bar Assn. (CLTBA), Allahabad Bench v. Union of India to this Court, so as to avoid any conflicting directions being passed by the High Court and moreso to ensure compliance of the time-frame specified by this Court. We order accordingly.

    4. The Registry shall take necessary steps for calling for the transferred proceedings and register it as a transferred case, to be placed before the appropriate bench of this Court.
