IN RE TURNER BOISSEAU, CHARTERED, (Bankr.D.Kan. 2000)
INTERIM ORDER AUTHORIZING DEBTOR IN POSSESSION TO UTILIZE CASH COLLATERAL, PROVIDING ADEQUATE PROTECTION, AND AUTHORIZING AGREEMENT WITH BANK OF AMERICA
JOHN T. FLANNAGAN, Judge.
NOW on this _____ day of August, 2000, the above matter comes on for hearing before the Court on the joint motion of Turner Boisseau, Chartered ("Debtor" and "Debtor in Possession") and Bank of America ("Bank of America") for the entry of this agreed order. Turner Boisseau, Chartered appears by and through its counsel of record, Christopher J. Redmond and Mark T. Benedict of Busch Eppenberger, LLC. Bank of America appears by and through its counsel of record. Cynthia Lynn Dillard of Bryan Cave, LLP. Other appearances are as noted on the court record.
WHEREUPON, after reviewing the joint motion, reviewing the file and Chapter 11 proceedings, and hearing the statements of counsel, the Court finds that it is in the best interest of the Debtor's estate and its creditors, and that good cause has been shown to grant the relief requested in the joint motion.
THE COURT FURTHER FINDS that Debtor does not otherwise have funds available to meet payroll and other necessary expenses, and that Debtor is unable to obtain the use of Bank of America cash collateral other than upon the terms and conditions provided herein.
THE COURT FURTHER FINDS that the ability of the Debtor to continue its business, remain a viable entity and have a reasonable opportunity to reorganize under Chapter 11 of the United States Bankruptcy Code, depends upon the use of Bank of America cash collateral as provided for herein, and unless such relief is provided for, the Debtor's operations will be subject to precipitous termination, resulting in immediate and irreparable harm to the Debtor's estate.
THE COURT FURTHER FINDS that notice hereof has been provided as directed by the Court and as required and complies with the requirements of 11 U.S.C. § 101(1) and 361 through 363, and Bankruptcy Rule 4001, and that any notice period in excess thereof is hereby shortened to conform to the notice given herein.
THE COURT FURTHER FINDS that the relief requested and the terms and conditions set forth herein are in the best interest of Debtor's estate and its creditors.
IT IS THEREFORE ORDERED, ADJUDGED AND DECREED that
1. This Court has jurisdiction over this matter pursuant to 28 U.S.C. § 157 and 1334. No trustee has been appointed and Debtor remains in possession of its estate.
2. Bank of America is the holder of numerous promissory notes executed by Debtor. Bank of America and Debtor are parties to a loan agreement and numerous security agreements, pledge agreements, guaranty agreements, and liens securing the obligations evidenced by the promissory notes. A description of the promissory notes, the loan agreement, and the security agreements, pledge agreement, guaranty agreements and liens is attached hereto as Exhibit "A". The underlying documents are too voluminous to be attached hereto and have or will be filed with the Court under separate cover. The agreements described on Exhibit "A", together with all other documents and instruments executed in connection therewith are herein collectively referred to as the "Loan Documents." The Collateral as described in the loan agreement, security agreement, pledge agreements and guaranty agreements is herein collectively referred to as the "Collateral".
The principal balance due and owing to Bank of America as of August 3, 2000 is approximately $601,722.00 plus accrued interest of $46,152.74 with an approximate per diem rate of $192.21 per day plus costs and expenses. The value of the Collateral is in excess of $1,000,000 and thus the Bank of America is an over secured creditor.
3. Pursuant to 11 U.S.C. § 363, Debtor, after filing Chapter 11 proceedings, is prohibited from using, selling or leasing the collateral for any purpose until, after notice and a hearing, the Court authorizes such use, sale or lease in accordance with the provisions of 11 U.S.C. § 363. The proceeds, product, offspring, rents and profits of the Collateral constitute Cash Collateral ("Cash Collateral") within the meaning of 11 U.S.C. § 363(a).
4. Pursuant to 11 U.S.C. § 363(c)(4), Debtor is required to segregate and account for all Cash Collateral in its possession, custody or control.
5. 11 U.S.C. § 363(e) requires that notwithstanding any other provisions of said section, upon Bank of America's request, the Court, with or without a hearing, shall prohibit or condition Debtor's use, sale or lease of any Collateral as is necessary to provide adequate protection of Bank of America's interests therein.
6. Exhibit upon further order of this Court or upon default of the obligations under this order, Debtor, as Debtor in Possession, may continue to operate its business and to collect the cash, rents, profits and proceeds generated therefrom, limited solely to the ordinary course of business and in accordance with the provisions of this order and the Bankruptcy Code.
7. All cash, cash equivalents, rents, profits, proceeds and income collected by the Debtor or on the Debtor's behalf shall be deposited and maintained at all times in Debtor in Possession accounts (the "DIP Accounts") in accordance with 11 U.S.C. § 345. Funds constituting Bank of America's Cash Collateral deposited in said account shall be separately accounted for, and such accounting information provided to Bank of America on a weekly basis.
8. Except as authorized by the Court, Debtor shall not use any Cash collateral in its possession, custody or control at any time.
9. Subject to Debtor's compliance herein, Debtor is hereby authorized to use the Cash Collateral for any amounts set forth in the budget attached hereto (the "Budget") for use solely for the payment of expenses to the extent set forth in the Budget. The expenses designated in the Budget shall be limited to post-Filing Date expenses incurred in the ordinary course of Debtor's business (including fees payable to the United States Trustee). Debtor's professional fees and expenses for the period covered by this order and payable out of the Cash Collateral shall be limited to those fees and expenses set forth in the Budget and allowed by the Court. Except as specifically authorized herein or by separate orders of this Court, no transactions with, funds or payments to, or commitments to pay, any insider (except normal, reasonable salaries, and reimbursement of reasonable business expenses), affiliate or related entity of, or controlled (directly or indirectly) by Debtor shall be made, paid or disbursed by Debtor to an such insider, affiliate or related entity. In the event of the termination of the use of Cash Collateral, all expenses which were designated in the budget and which in fact have occurred will be paid pursuant to the terms and provisions of the amounts up to and including the date of the termination of the use of Cash Collateral.
10. The beginning accounts receivable under 120 days old as of the date of filing are in the amount of $592,076.76, which amount shall be used as a base throughout these proceedings. (Accounts less than 120-days old are defined as the "120 Day Accounts Receivable".)
11. The total accounts receivable plus the work in progress of the date of filing is the in the amount of $1,849,602.29 (defined as the "Total AR/WIP"). Throughout the course of these proceedings, the Debtor shall maintain 120-Day Accounts Receivable at a minimum amount of $562,472.93 which is 95% of the beginning accounts receivable. Debtor shall maintain Total AR/WIP in the amount of $1,664,642.07 which is 90% of the beginning balance throughout these proceedings. Debtor shall provide and deliver to the Bank within five days at the end of each month the 120-Day Accounts Receivable balance and shall prepare and deliver to the Bank the AR/WIP balance as of the 15th day and the 30th day of each month. Said information shall be provided within five days after the end of each period and shall be delivered to the Bank on or before the 5th day. Debtor shall further provide a detail as to any amount collected as of the 15th and 30th day of each month throughout these proceedings. The information shall be provided and delivered to the Bank within five days after each respective date.
12. Debtor shall pay or cause or to be paid all ordinary and necessary expenses of operation of its business and the costs required to care for, preserve and maintain the Collateral, which are allowed in the budget, including, but not limited to, the following:
a. Utility costs and telephone charges;
b. Reasonable salaries to employees of Debtor;
c. Upkeep, maintenance and repairs;
d. Insurance so as to assure continued coverage of the Collateral in accordance with the Loan Documents;
e. Purchase or rental of necessary supplies, materials and equipment;
f. Income, withholding, sales, use, real estate and other taxes, operating permit fees and other charges necessarily incurred in the ordinary course of the Debtor's business and this Chapter 11 proceeding;
g. Rents and payments to landlords in conformity with existing leases;
h. Payments to leasing companies for the continued utilization of office equipment, computers and furniture;
i. Normal and necessary travel expenses incurred by the Debtor in the representation of its clients;
j. Payment of professional fees and expenses to its attorneys and accountants in regard to the Chapter 11 proceeding; and
k. Payment of fees due and owing to the Office of the United States Trustee.
13. Debtor's total expenditures in any month shall not exceed the amount budgeted for that month plus the unexpended portion of any budgeted amount for the prior month, if any.
14. In order to protect Bank of America against a decline in the value of its secured position in the Collateral, and to afford such other adequate protection as is required under the Bankruptcy Code:
a. The Debtor shall operate its business pursuant to the terms herein set forth and shall perform all of the obligations hereunder;
b. Subject only to prior perfected, non-avoidable security interest or other third party creditors, Bank of America is hereby granted, to the extent not heretofore granted, a first priority and perfected senior lien and security interest in all presently owned and hereafter acquired personal property, assets and rights of any kind and nature of the Debtor including all proceeds thereof, wherever located, to secure the indebtedness, and all other obligations of the Debtor to Bank of America, including interest, fees and expenses thereon. In accordance with 11 U.S.C. § 507(b), to the extent the value of Bank of America's security interests in the Collateral declines after the Filing Date notwithstanding the adequate protection herein set forth, or such adequate protection otherwise proves to be inadequate as determined by the Court, the liens and security interests granted to Bank of America hereunder shall attach to all property of the Debtor regardless of the nature of said property to secure such diminution in value and such claim shall additionally have priority over all administrative expenses of any kind allowable under § 507(a)(i), except as otherwise provided herein. Proceeds from the liquidation of any Collateral outside the ordinary course of business shall be applied to the indebtedness in such manner and order as Bank of America, in its sole discretion, shall elect. Excess proceeds from the ordinary course of business in the form of cash, accounts or both, over the Budget amount shall be allowed to remain in the DIP Accounts subject to Bank of America's lien and the terms of this order.
c. Proceeds from all non-ordinary course of business sales of Collateral immediately shall be deposited in DIP Accounts with disbursements to be determined and approved by the Court.
d. The automatic stay is hereby vacated in all respects as to Bank of America with respect to the creation, perfection and implementation of Bank of America's post-petition liens and security interests in the Collateral to the extent provided in this order.
15. Bank of America is hereby granted, pursuant to § 364(c)(2) as additional security for the payment of the balances due to Bank of America, a valid binding perfected and enforceable first priority lien upon all of the property and assets of the Debtor in the estate including without limitation (i) all property of the Debtor's estate within the meaning of § 541 of the Bankruptcy Code of any kind or nature, whether real or personal, tangible or intangible, wherever located (including actions brought pursuant to Chapter 5 of the Bankruptcy Code).
16. Subject to the terms hereof, Debtor shall operate its business only in the ordinary course of business in compliance with the provisions of the Bankruptcy Code and only upon the terms and conditions usual and customary in such business. All proceeds of such operations shall be deposited only in the DIP accounts.
17. Notwithstanding anything herein contained to the contrary, this order shall be without prejudice to Bank of America's rights under 11 U.S.C. § 506 and 507 should the adequate protection provided by Debtor hereunder subsequently be found by this Court to have been inadequate. Notwithstanding this order, Debtor may apply to the Court for the use of Cash Collateral to this extent a consensual agreement for continued use of Cash Collateral cannot be entered into with Bank of America.
18. In the event Debtor fails to comply with the Budget under this order, Bank of America may provide written notice of said nonpayment by telecopy, certified mail or hand delivery to Debtor's counsel. If said compliance is not made within two (2) business days after said notice is so provided, Bank of America may apply to the Court for a hearing thereon at the earliest practicable time and date.
19. In the event Debtor fails to comply with the terms hereof, other than compliance with the Budget, Bank of America may so advise counsel for Debtor by telecopy, certified mail or hand delivery, and if the default is not cured within five (5) business days of said notice, either Bank of America or the Debtor may apply to the Court for a hearing at the earliest practicable time and date.
20. Upon and after the occurrence of any failure by Debtor to comply with any provision of this order, Bank of America, subject to order and jurisdiction of the Court, in connection with a liquidation of any Collateral, may use any real property, equipment, trademarks, trade names, patents or any other assets of the Debtor that are owned by or subject to a lien of any third party and that are used by Debtor in its business, without the payment of any fees or rentals by Bank of America to such third parties.
21. Bank of America shall not be required to take any further actions or make any filings to perfect said rights and liens. If, however, Bank of America shall in its sole discretion, elect for any reason to file any financing statements, mortgages, deeds of trust or other documents with respect to such security interests nad liens, the Debtor promptly. shall execute same upon their request and all such financing statements, mortgages, deeds of trust and other documents shall be deemed to have been filed or recorded at the time and on the date of commencement of this Chapter 11 case. Bank of America may, in is sole discretion, file a certified copy of this order in any filing or recording office in any county or other jurisdiction in which the Debtor has real or personal property and, in such event, the subject filing or recording officer is authorized and directed to file or record such certified copy of this order.
