MARTOCCIO v. ORGO

Appellate Court of Illinois.
May 15, 1940

CORPORATIONS, § 339 — officer hired to manage corporation, compensation. Stockholder could not object that salary voted officer of corporation was illegel because it was carried by his vote, where such salary was not given him as an officer but as manager of the corporation, as an officer may validly contract to serve corporation as an employee and be paid for that service, nor could plaintiff claim a legal right to subscribe for additional shares of capital stock where record showed that she was not a stockholder at time of issuance of stock.

See Callaghan's Illinois Digest, same topic and section number.
