NRG Energy, Inc. makes this application for an Order approving the form of notice with respect to its motion under 11 U.S.C. § 305 scheduled for hearing on March 27, 2003 at 1:30 p.m.

1. The Court has entered its Amended Scheduling Order for Proceedings on Contested Involuntary Petition and Debtor's Motion for Abstention and Other Relief ("Amended Scheduling Order") dated February 28 , 2003.

2. The Amended Scheduling Order provides for the Debtor to give twenty (20) days notice to all creditors of the hearing scheduled for March 27, 2003 at 1:30 p.m. The Amended Scheduling Order provides for the Debtor to prepare a notice to creditors.

3. The Court has the authority to regulate notices pursuant to Bankruptcy Rule 9007 and to reduce the period of notice pursuant to Bankruptcy Rule 9006(c).

4. The attached notice requires any response to be served and filed seven days prior to the hearing. Debtor believes that mailing is likely to be complete more than 24 days prior to the hearing and thus a seven day response period is prescribed by Local Rule 9006-1(b). However, in the event that mailing, or some portion of the mailing, takes until March 7 (the 20 day minimum provided by Bankruptcy Rule 2002(a), this Application is a request to nevertheless apply Local Rule 9006-1(b) to require a response seven days prior to the hearing to enable the Debtor and the Court to prepare for the hearing.

5. Debtor anticipates that mailing will be conducted by Kurtzman Carson Consultants, LLC, which will compress the notice to permit it to be contained on a two-sided single page.

6. Debtor has attached to this Application a proposed notice and requests that the Court approve such notice.

Upon the foregoing application, the proposed form of notice is approved.
