For the reasons stated in the foregoing Memorandum Opinion, it is this 10^th day of February, 2004, by the United States District Court for the District of Maryland, ORDERED that:

1. The motion by Plaintiff 1325 "G" Street Associates, LP to dismiss the counterclaim (Paper 32) BE, and the same hereby IS, granted;

2. The counterclaim of Rockwood Pigments NA, Inc. against 1325 "G" Street Associates, LP BE, and the same hereby IS, DISMISSED; and

3. The Clerk will transmit copies of this Memorandum Opinion and this Order to counsel for the parties.
