Based upon the findings of fact and conclusions of law set forth in the court's Memorandum Decision of even date herewith, it is hereby

ORDERED that Defendants' Motion for Summary Judgment is granted, and that the above entitled and numbered adversary proceeding is dismissed with prejudice; and it is further

ORDERED that Defendants shall recover their costs in this adversary proceeding and have execution therefor.
