This matter comes before the Court pursuant to the Debtors' Motion for Approval of Rejection of Executory Contract filed August 23, 2004 (the "Motion"). The Court, having reviewed the matters of record herein,

FINDS:

1. Notice of the Motion is sufficient and proper and in accordance with applicable rules.

2. No party objected to the Motion within the prescribed time and, therefore, pursuant to applicable local rules the Motion may be granted and the hearing therein may be stricken.

3. Good cause otherwise exists to grant the relief requested in the Motion. It is therefore

ORDERED that the above Debtors' rejection of the October 11, 1999, executory contract with Hallmark Marketing Corporation is approved.
