This matter comes before the Court for decision pursuant to the Objections to Claims (filed Proofs of Claims) filed March 18, 2005 ("Objection") and the stipulation of the parties as evidenced by their respective approvals hereof. Pursuant to such stipulations the Court,

FINDS:

1. This Court has jurisdiction pursuant to 28 U.S.C. §§ 157(l) and (2)(B).

2. Notice of the Objection regarding the claim of Quality Foods, Inc. ("Quality") is sufficient and proper.

3. The Trustee and Quality agree that Quality should have an allowed unsecured, non-priority claim in the amount of $50,472.68.

IT IS THEREFORE

ORDERED that Quality's claim is allowed as an unsecured, pre-petition, non-priority claim in the amount of $50,472.68 and all other claims of Quality in the above Estate are disallowed.
