Sugarloaf Mills Residual LP and Sugarloaf Mills LP, pursuant to Rule 8001(c)(1), Fed.R.Bankr.P., hereby voluntarily dismiss their appeal of this Court's Order Overruling Motion for an Order Approving the Sale and/or Assumption and Assignment of Certain of Debtors' Assets (Docket Entry 1188) entered on the docket on July 15, 2005 and the Order Overruling Motion of the Mills Entities for Reconsideration of, or, Alternatively, for Clarification or Amendment of, the Court's Order of July 15, 2005 (Docket Entry 1200) entered on the docket on July 28, 2005.

It is hereby ORDERED that the aforementioned appeal is hereby DISMISSED.
