MICROFIRM CAPITAL PRIVATE LIMITED VS

National Company Law Tribunal
Sep 22, 2023
Smart Summary (Beta)

Factual and Procedural Background

The petition was filed under Section 230(1) read with Section 232(1) of the Companies Act, 2013 seeking sanction of a Scheme of Amalgamation whereby Microfirm Capital Private Limited (Transferor / Petitioner No.1) would be merged into Magma Consumer Finance Private Limited (Transferee / Petitioner No.2) with effect from the appointed date (close of business hours of 31 March 2022). The Boards approved the Scheme on 14 December 2022. The Scheme arose because Microfirm, formerly an NBFC‑CIC holding primarily shares in Poonawalla Fincorp Limited, ceased to meet NBFC‑CIC criteria after changes in PFL's group status and the RBI sought a decision on conversion or merger. Statutory auditor certification, a registered valuer's valuation, and a merchant banker's fairness opinion were obtained.

By order dated 23 March 2023 (Company Application (CAA) No.1/KB/2023) the Tribunal dispensed with certain shareholders' meetings and directed meetings of Preference Shareholders and Unsecured Creditors of the Transferor to be held on 2 May 2023; those meetings approved the Scheme. The petition was admitted on 7 June 2023 and statutory notices and newspaper advertisements were made; affidavits of compliance were filed. The Regional Director (RD), Official Liquidator and Income Tax Authority filed representations. The Official Liquidator filed a report on 4 July 2023 raising no objections. The matter was heard and the Tribunal pronounced its order on 22 September 2023.

Legal Issues Presented

  1. Whether the Scheme of Amalgamation between Microfirm Capital Pvt. Ltd. and Magma Consumer Finance Pvt. Ltd. should be sanctioned under Sections 230 and 232 of the Companies Act, 2013.
  2. Whether statutory and procedural requirements (meetings, notices, filings, disclosures to statutory authorities) necessary for sanction under the Act have been complied with.
  3. Whether representations/observations of the Regional Director, Official Liquidator and Income Tax Authority raise objections that would preclude sanction of the Scheme.

Arguments of the Parties

Petitioners' Arguments

  • The Scheme was unanimously approved by the Boards on 14 December 2022 and is bona fide and in the interest of stakeholders.
  • Rationale: Microfirm ceased to qualify as NBFC‑CIC after change in status of PFL; amalgamation with Magma was evaluated as preferable to fresh registration/conversion and would consolidate NBFC operations, produce synergies, reduce multiplicity of compliances and enhance shareholder value.
  • Accounting treatment conforms with applicable Accounting Standards (statutory auditor certificate dated 12 December 2022).
  • Exchange ratio was determined by a registered valuer and confirmed as fair by a SEBI‑registered merchant banker.
  • All statutory formalities (meetings, notices, advertisements, service on authorities) have been complied with and meetings (where directed) approved the Scheme.
  • Responses to RD observations: confirmed no complaints; produced RBI no‑objection letter; undertook to file Schedule of Assets upon sanction; affirmed compliance with Section 232(3)(i); stated no immovable property to attract stamp duty; confirmed scheme versions in application and petition are identical; stated Income Tax authorities had not filed objections after being given time.

Regional Director (RD) — Observations / Requests

  • Noted no complaints received and that petitioner companies' filings were up to date.
  • Recorded RBI's "No Objection" to the Scheme (letter dated 10 April 2023) and that such approval is valid for six months from issuance.
  • Requested list/details of assets, if any, to be transferred from Transferor to Transferee upon sanction.
  • Requested an undertaking to comply with Section 232(3)(i) of the Act.
  • Requested direction that transferee pay stamp duty on transfer of immovable properties.
  • Requested affidavit confirming the Scheme in the Company Application and Company Petition are identical.
  • Noted that a copy of the Scheme was forwarded to Income Tax Department and its report was awaited.

Official Liquidator

  • Reported no complaints against the Scheme as of filing date (report dated 4 July 2023).
  • Found, based on information submitted, that affairs of the Transferor did not appear to have been conducted prejudicially to members' or public interest.

Income Tax Authority

  • Advised that the assessee company's AY 2022‑23 case was selected for scrutiny (assessment proceedings under section 143(3) pending) and noted an outstanding demand for AY 2019‑20.
  • The Petitioners filed an affidavit (8 July 2023) stating that Income Tax claims were satisfactorily addressed and that the Transferee would continue to exist so assessments/demands could be proceeded with in the ordinary course.

Table of Precedents Cited

No precedents were cited in the provided opinion.

Court's Reasoning and Analysis

The Tribunal reviewed the petition, Scheme, statutory auditor certificate, valuation and fairness opinion, notices, advertisements, minutes of meetings, the RD affidavit and the Petitioners' rejoinder, the Official Liquidator's report and the Income Tax Authority's representation and petitioners' clarifications. The Tribunal observed that the RD's queries/observations were responded to by the Petitioners (including undertaking to comply with Section 232(3)(i), provision of Schedule of Assets upon sanction, confirmation of no immovable property and supply of identical Scheme versions). The Official Liquidator raised no objections and the Income Tax Authority's queries were addressed by the Petitioners' affidavit. Upon being satisfied with these clarifications and compliance with statutory formalities, the Tribunal concluded that the Scheme met the requirements for sanction under the Companies Act and was bona fide and in the interests of concerned parties.

Holding and Implications

Direct effects and directions:

  • Employees of Microfirm shall be employed by Magma as provided in the Scheme; pending proceedings against Microfirm shall continue against Magma; Magma shall issue and allot shares to Microfirm shareholders as per the Scheme.
  • Petitioners granted leave to file the Schedule of Assets in Form No. CAA7 within three weeks of receiving a copy of the order.
  • Both companies must, within thirty days of receipt of the order, deliver certified copies to the Registrar of Companies, West Bengal; upon filing, Microfirm shall be dissolved effective as provided and RoC records consolidated.
  • Petition (CAA No.69/KB/2023 connected with CA(CAA) No.1/KB/2023) is disposed of accordingly; certified copy of the order may be supplied on compliance with formalities; any interested person/authority may apply to the Tribunal for further directions.

ORDER

Per: Balraj Joshi, Member (Technical)

1. The instant petition has been filed under Section 230(1) read with to Section 232(1) of the Companies Act, 2013 ("Act") for sanction of the Scheme of Amalgamation between Microfirm Capital Private Limited, being the Petitioner No. 1 above named ("Transferor Company" or "Petitioner No. 1") and Magma Consumer Finance Private Limited being the Petitioner No. 2 above named ("Transferee Company" or "Petitioner No. 2") whereby and where under Microfirm Capital Private Limited is proposed to be merged with Magma Consumer Finance Private Limited from the Appointed Date, viz. close of business hours of March 31, 2022, in the manner and on the terms and conditions stated in the said Scheme of Amalgamation ("Scheme").

2. The Petition has now come up for final hearing. Counsel for the Petitioners submits as follows:-

(a) The Scheme was approved unanimously by the respective Board of Directors of the Petitioners at their respective meetings held on December 14, 2022.

(b) The rationale provided for the scheme of amalgamation is that the Petitioner No.1holding registration as "Core Investment Company" was holding, primarily, shares in Poonawalla Fincorp Limited (erstwhile Magma Fincorp Limited, hereinafter "PFL"). However, consequent upon the investment in PFL by the Poonawalla group, based on a transaction which has duly been approved by the RBI, PFL ceased to be a group company, and therefore, the Petitioner No.1's investment in PFL ceased to qualify as an investment in "company under the same group".

2

Hence, Petitioner No.1 ceased to meet the criteria for an NBFC-CIC. Petitioner No.1 has since been deploying the cash flows generated from the transfer of shares of PFL into various capital market activities. The RBI vide email dated 18th September 2022 had asked to make a decision as to whether Petitioner No.1 proposes to get itself converted into an NBFC-ICC or merge with an existing NBFC-ICC.

Petitioner No.1 has since evaluated and understood that there is no formal process of conversion of NBFC-CIC into NBFC-ICC and for that a fresh registration process only has to be followed. Accordingly, considering the circumstances, the Petitioner No.1, evaluated the benefits of amalgamation of the Petitioner No.1 with the transferee company. Since both Petitioner No.1 and Petitioner No.2 are part of the same group and engaged in similar activities, it would be of better interest and benefit for the Group to have one NBFC, from the perspective of ease of doing business as also to align with the future objectives of the group.

The Scheme is intended to merge these companies and consolidate their business in a manner that is expected to enable better realization of their business potential, yield beneficial results and enhanced value creation for the said companies, their respective shareholders and stakeholders. The Amalgamation of the Petitioner No.1 with the Petitioner No.2 would inter alia have the following benefits:

a. It will enable better and more efficient management, control and obtain synergic benefits of the proposed merger. It will result in a significant reduction in the multiplicity of legal and regulatory compliances required at present to be carried out by the Transferor Company and the Transferee Company.

b. The proposed merger will ensure cost reduction, easier and efficient compliances and optimum management combining synergies of the companies.

3

c. The proposed merger will provide for pooling of the managerial, technical and financial resources of the Transferor Company and the Transferee Company which will help in increasing the overall competitiveness of the group.

d. Both the Transferor Company and the Transferee Company are engaged in similar activity and therefore, it would be more desirable for the group to have one NBFC in its fold from the perspective of ease of doing business and also a preferable choice in regulator's preference.

e. The same will lead to strengthening of the single brand leading to a stronger market presence.

f. The proposed merger will help to achieve greater integration and greater financial strength and flexibility, to maximize overall shareholder value and improve the competitive position of the combined entity. g. Greater efficiency in cash management of the merged entity, and unfettered access to cash flow generated by the combined business which can be deployed more efficiently to maximize shareholders value. h. The increased asset base of the merged entity would have better financial viability and clearer focus, which would be in the interests of all creditors.

(c) The Statutory Auditor of the Transferee Company by its certificate dated December 12, 2022 has confirmed that the Accounting Treatment proposed in the Scheme is in conformity with the Accounting Standards prescribed under Section 133 of the Companies Act, 2013.

(d) The exchange ratio of shares in consideration of the Amalgamation has been fixed on a fair and reasonable basis based on the valuation report obtained from CA Vidhi Chandak, Registered Valuer [IBBI/RV/06/2019/11186]. Further Sumedha Fiscal Services Limited., a SEBI Registered Category I Merchant Banker, has also confirmed the said ratio is fair and proper by their fairness opinion thereon.

(e) No proceedings are pending under Sections 210 to 227 of the Companies Act, 2013 against the Petitioners.

4

(f) The shares of the Petitioners are not listed with any of the Stock Exchanges

(g) By an order dated March23, 2023 in Company Application (CAA) No.1/KB/ 2023, this Tribunal allowed the said Company Application and made the following directions with regard to meetings of shareholders and creditors under Section 230(1)read with Section 232(1) of the Act:-

a. Meetings dispensed: (i) Meetings of the Equity Shareholders of the Petitioner No.1 and meetings of the ordinary Equity Shareholders , Class B Equity Shareholders and Preference Shareholders of the Petitioner No.2 are dispensed with under Section 230(1) read with Section 232(1) of the Act in view of the fact that such shareholders have already given their consent to the Scheme.(ii) It is recorded that there are no Secured Creditors in the Petitioner No.1 and no Secured Creditors and Unsecured Creditors in the Petitioner No.2

b. Meetings directed to be held: Meeting of the Preference Shareholders of the Petitioner No.1 and meeting of the Unsecured Creditors of the Petitioner No.1 for considering the Scheme were directed to be held on May 2, 2023 at 11:00 AM and 12:00 Noon respectively. Such meetings were directed to be held physically at the Registered Office of the Company i.e. Development House, 3rdFloor, 24, Park Street, Kolkata -

700016.

(h) Pursuant to the said order dated March 23, 2023 in Company Application (CAA) No.1 / KB / 2023, and the applicable provisions of the Companies Act, 2013 and Rules framed thereunder, the Preference Share-holders and the Unsecured Creditors of the Petitioner No.1 were given the option of voting on the Scheme, conducted physically, by polling paper.

(i) The said meetings were duly held on May 2, 2023, as directed. The said meetings duly approved the Scheme by requisite majority.
