Mahindra And Mahindr... v. Stan Autos Private L...

National Company Law Tribunal
Apr 11, 2023
Smart Summary (Beta)

Factual and Procedural Background

This opinion concerns an application filed by the Resolution Professional (RP) of Stan Autos Private Limited seeking liquidation of the Corporate Debtor on the ground that no resolution plan was received. The Corporate Insolvency Resolution Process (CIRP) against the Corporate Debtor was initiated on 18.02.2022 following a petition by the Financial Creditor, Mahindra and Mahindra Financial Services, under Section 7 of the Insolvency and Bankruptcy Code, 2016 (IBC). The RP was appointed initially as Interim Resolution Professional and later replaced.

After publication of Form G and collation of claims, the Committee of Creditors (CoC) was constituted on 27.10.2022. Despite receiving three Expressions of Interest (EOIs), none were found feasible. Consequently, in the 12th CoC meeting held on 18.01.2023, with 83.81% voting share, the CoC recommended liquidation of the Corporate Debtor and appointment of the current RP as liquidator.

The RP filed the present application under Section 33(2) of the IBC seeking liquidation and appointment of the liquidator, who consented and holds valid authorization for assignment. The CoC has not approved liquidation expenses nor complied with Regulation 39B of CIRP Regulations, 2016, prompting the liquidator to take action under Regulation 2A of the IBBI (Liquidation Process) Regulations, 2016.

Several related applications were also filed by the RP seeking directions for cooperation from suspended directors and others in handing over assets, records, and information necessary for the CIRP and liquidation process.

Legal Issues Presented

  1. Whether the Corporate Debtor should be ordered into liquidation under Section 33 of the IBC, 2016 due to non-receipt of any resolution plan.
  2. Whether the Committee of Creditors should be directed to pay the liquidation costs to the liquidator as approved by the Tribunal.
  3. Whether the suspended directors, employees, auditors, and other persons connected with the Corporate Debtor should be directed to cooperate with the liquidator and Resolution Professional by handing over possession of assets, records, and information.
  4. Whether the liquidator should be appointed and vested with powers as per the provisions of the IBC and related regulations to conduct the liquidation process.

Arguments of the Parties

The opinion does not contain a detailed account of the parties' legal arguments.

Table of Precedents Cited

No precedents were cited in the provided opinion.

Court's Reasoning and Analysis

The court noted the absence of any resolution plan and the CoC's recommendation for liquidation with a substantial voting majority. The RP's application for liquidation under Section 33(2) was supported by the facts of non-feasibility of EOIs and the CoC's decision. The court observed that the liquidator is empowered under Section 34(3) of the IBC to seek information from ex-directors and that they are under a lawful obligation to comply. The court also addressed procedural compliance regarding liquidation costs and directed the liquidator to take necessary steps under applicable regulations.

The court further emphasized the transfer of powers from the Board of Directors and key managerial personnel to the liquidator upon commencement of liquidation and mandated cooperation from personnel of the Corporate Debtor. It also outlined procedural steps for the liquidation process, including public notice, investigation of financial affairs, and submission of a preliminary report within a stipulated timeframe.

In related applications seeking cooperation and possession of assets, the court directed the suspended directors and other respondents to provide all required information and assistance within a specified period. The court disposed of these applications with directions consistent with the liquidation order.

Holding and Implications

The application for liquidation of Stan Autos Private Limited is allowed and the Corporate Debtor is ordered to be liquidated under Section 33(2) of the Insolvency and Bankruptcy Code, 2016.

Mr. Vijay Kishore Saxena is appointed as the liquidator with all powers vested under the Code and related regulations. The liquidation process shall proceed in accordance with statutory provisions, including public notification, cessation of powers of the Board of Directors, and cooperation from Corporate Debtor personnel. The CoC is directed to pay liquidation costs as approved.

The suspended directors and other respondents are directed to cooperate fully with the liquidator by providing possession of assets, records, and information. The liquidation order constitutes a notice of discharge to officers, employees, and workmen of the Corporate Debtor, subject to continuation of business during liquidation.

The decision disposes of the related applications with directions to comply with the liquidation process and does not set any new precedent beyond the application of existing statutory provisions.
